Terms of Service
Last updated: August 29, 2026. Plain-language summary first, full terms below — the terms below control if the two ever disagree.
1. Who this agreement is between
pendnt (https://pendnt.dev, API at
api.pendnt.dev) is operated by Kade Angell, located at 550 S 300 W, N337, Salt Lake City, UT 84101, USA
("pendnt", "we", "us", "our"). "You" means the individual or organization that creates a
workspace or otherwise uses the service. By creating an API key, connecting to the MCP server, or
otherwise using pendnt, you agree to these Terms of Service. If you're agreeing on behalf of an
organization, you're confirming you have authority to bind it.
pendnt is built and operated day-to-day by an autonomous AI agent (Claude) under the direction and responsibility of its human owner, Kade Angell. That operating model doesn't change who's legally accountable under this agreement: Kade Angell is the responsible party, the same as if the work were done by a human employee.
2. The service
pendnt is a hosted API/MCP service that lets an AI agent hand off things it can't do itself: it stores approval requests, fire-and-forget notifications, inbound webhook payloads, scheduled wake-ups, and small key/value data on your behalf, and delivers approvals and notifications to a human via email, Telegram, and outbound webhooks. It runs entirely on Cloudflare (Workers, D1, KV, Durable Objects, Queues) and is billed through Stripe. There is no self-hosted or on-premises option.
3. Accounts and API keys
Each workspace is authenticated by one or more API keys, shown once at creation and never again in full — see Security for how they're stored and scoped. You're responsible for keeping your API keys confidential, for all activity that occurs under them, and for rotating a key promptly if you believe it's been exposed. Don't share a key across unrelated parties or resell access to the service without a separate written agreement with us.
4. Acceptable use
You agree not to use pendnt to:
- Store, transmit, or request approval/notification of content that is illegal, or that infringes someone else's rights.
- Use an inbound endpoint (
/in/<slug>) as an open relay, spam sink, or proxy for traffic unrelated to your own agent's workflows — inbound endpoints exist to receive webhooks you're expecting (GitHub, Stripe, an OAuth provider, etc.), not to anonymize or launder arbitrary third-party traffic. - Send unsolicited bulk messages (spam) through any delivery channel — email, Telegram, or webhook — configured on your workspace.
- Attempt to exceed, circumvent, or defeat the purpose of rate limits, or otherwise deliberately overload the service (see Security and Pricing for current limits).
- Attempt to access another workspace's data, keys, or requests, or probe, scan, or test the service's security without our prior written permission.
- Reverse engineer, decompile, or attempt to extract the source of the service beyond what's permitted by applicable law.
- Use the service in a way that could disable, overburden, or impair it for other customers.
We may suspend or terminate a workspace that violates this section, with or without notice depending on severity — see Termination.
5. Your content and data
You retain ownership of the data you or your agent submit to pendnt — approval and notification text, inbound webhook payloads, KV values, and wakeup payloads ("customer content"). You grant us a limited license to store, process, and transmit that content solely to provide the service to you (for example, relaying it to your configured email/Telegram/webhook channels, or returning it to your agent via the API or MCP server). We don't use customer content to train AI models, and we don't sell it — see the Privacy Policy for the full detail on how it's handled and who else touches it.
You're responsible for having the right to send whatever content you route through the service, and for your agent's use of the data it sends and receives.
6. Fees and billing
Current plans: Free ($0) and Pro ($9/month); a Team plan is coming soon — see Pricing for what each includes. Paid plans are billed monthly in advance through Stripe Checkout. You can upgrade, downgrade, or cancel at any time from the Stripe Customer Portal, linked from your dashboard; there's no annual lock-in and no sales call required. Cancelling stops future billing; your plan remains active through the end of the period you've already paid for, after which your workspace reverts to Free limits.
We may change our prices or plan structure going forward; changes will be noted in the changelog and won't apply retroactively to a period you've already paid for. If a payment fails, we may downgrade or suspend the workspace until it's resolved.
7. Refunds
Payments are non-refundable and we don't provide prorated refunds for a partial billing period or for unused time after a downgrade or cancellation, except where required by applicable law. Cancel anytime to stop future charges — see Fees and billing.
8. Availability
pendnt is provided "as is" and "as available." We don't currently offer a formal uptime SLA on
any plan (Free or Pro; Team is coming soon) — we operate the service on a best-effort basis, including for
approval delivery, long-polling, scheduled wake-ups, and inbound webhook receipt. We may perform
maintenance, and Cloudflare (our infrastructure provider) may itself have outages outside our
control. If a request_approval call times out with no answer, treat it as denied —
that's the platform's own default on timeout, not a special case your agent needs to detect.
9. Termination
You may stop using pendnt and cancel your subscription at any time via the billing portal or by contacting us at arkade523@gmail.com. We may suspend or terminate your access if you violate Acceptable use, fail to pay fees when due, or if we're required to by law. Where practical we'll give notice first; for active abuse (e.g. an inbound endpoint being used as a spam relay, or attempts to breach another workspace) we may suspend immediately and notify you afterward. On termination, your right to use the service ends; see the Privacy Policy for what happens to your data afterward.
10. Disclaimer of warranties
To the maximum extent permitted by law, pendnt is provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that every approval, notification, or webhook delivery will succeed — build your agent's failure handling accordingly (see Availability).
11. Limitation of liability
To the maximum extent permitted by law, pendnt and Kade Angell won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of the service — even if advised of the possibility. Our total liability for any claim arising from these terms or the service is limited to the amount you paid us in the 12 months before the claim arose (or $100 if you're on the Free plan). Nothing in this section limits liability that can't be limited under the State of Utah, USA.
12. Indemnification
You agree to indemnify and hold pendnt and Kade Angell harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service in violation of these terms, or from content you route through it in violation of applicable law or a third party's rights.
13. Changes to these terms
We may update these terms as the product evolves. Material changes will be noted in the changelog; continuing to use pendnt after a change takes effect means you accept the updated terms. If you don't agree with a change, stop using the service and cancel your subscription.
14. Governing law
These terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-law rules, unless a mandatory local consumer-protection law says otherwise.
15. Age requirement
pendnt is a developer tool and is not directed at children. You must be at least 18 years old (or the age of majority where you live, if higher) to create a workspace or use the service.
